Terms of Service

1. Agreement to Terms

By downloading, installing, or using any application developed by Darkel LLC, doing business as Darkel Capital ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use our applications.

2. Use of Our Applications

Our Apps are licensed, not sold, to you. We grant you a limited, non-exclusive, non-transferable, revocable license to use our Apps for your personal, non-commercial purposes, subject to these Terms. This license is also subject to the usage rules set forth in the Apple Media Services Terms and Conditions and Google Play Terms of Service, as applicable.

You agree not to:

• Copy, modify, or create derivative works of the App
• Reverse engineer or attempt to extract source code
• Use the App for any illegal or unauthorized purpose
• Interfere with or disrupt the App or servers connected to it
• Attempt to gain unauthorized access to any part of the App

3. Account Registration

Some features may require account registration. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. In-App Purchases

Some Apps may offer in-app purchases or subscriptions processed through the Apple App Store or Google Play Store. All purchases are subject to the respective platform's terms and refund policies. We do not process payments directly.

5. Intellectual Property

All content, features, and functionality of our Apps — including but not limited to text, graphics, logos, icons, and software — are the exclusive property of Darkel Capital and are protected by applicable intellectual property laws. You may not use our branding or content without prior written permission.

6. Disclaimer of Warranties

Our Apps are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Apps will be error-free, uninterrupted, or free of harmful components.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Darkel Capital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Apps. Our total liability to you for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

8. Termination

We may suspend or terminate your access to our Apps at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our discretion.

9. Governing Law

These Terms shall be governed by the laws of the State of Texas, United States, without regard to conflict of law provisions.

10. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution

Before filing any formal dispute, you agree to first contact us at info@darkelcapital.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration

If the dispute is not resolved informally, you and Darkel LLC agree to resolve any claims relating to these Terms or our Apps through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in Austin, Texas, or at another mutually agreed location. The arbitrator's decision will be final and enforceable in any court of competent jurisdiction.

Class Action Waiver

You and Darkel LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

Opt-Out

You may opt out of this arbitration provision by sending written notice to info@darkelcapital.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will update both the "Effective date" and "Last updated" date at the top of this page. Material changes will take effect 30 days after posting. Continued use of our Apps after the effective date constitutes your acceptance of the new Terms.

12. Apple App Store Terms (EULA)

If you downloaded our App from the Apple App Store, the following additional terms apply:

• These Terms are between you and Darkel Capital only, not Apple. Darkel Capital is solely responsible for the App and its content.
• Apple has no obligation to provide maintenance or support for the App.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any). Apple has no other warranty obligation with respect to the App.
• Apple is not responsible for any claims relating to the App, including product liability, legal compliance, or intellectual property infringement.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

To the extent these Terms conflict with Apple's Licensed Application End User License Agreement, these Terms shall govern.

13. Google Play Store Terms

If you downloaded our App from the Google Play Store, the following additional terms apply:

• These Terms are between you and Darkel LLC only, not Google. Darkel LLC is solely responsible for the App and its content.
• Google has no obligation to provide maintenance, support, or warranty services for the App.
• Google is not responsible for any claims relating to the App, including product liability, legal compliance, or intellectual property infringement.
• Your use of the App is also subject to the Google Play Terms of Service.
• Google and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you upon your acceptance.
